IPO Investor Categories
• Qualified Institutional Buyers (QIB)- Qualified Institutional Buyers (QIBs) are
typically large investors with the financial expertise, such as mutual funds,
insurance companies, pension funds, and hedge funds, who are considered to have
expertise and resources will investment opportunities QIBs are
required to meet certain investment criteria set by the Securities and Exchange
Board of India (SEBI) to participate in an IPO, and are allowed to
issue shares at a price of lower than the price offered to retail investors.
• Non-Institutional Investors (NII)—Non-institutional investors on the other hand, are usually individual investors, high-net-worth individuals (HNIs), or institutions without financial standards to be the closed as QIBs. They are allowed to participate in IPOs at the same price as retail investors.
NII category has two subcategories:
1. sNII - "sNII" means "small non-institutional
investor". This sub-category includes investors who have the created shares of
₹2 lakh and ₹10 lakh in IPO.
2. bNII—"bNII" means "large investor other than an institutional investor." This subcategory includes investors who have created shares worth more than Rs. 10 lakh in an IPO.
• Retail Individual Investors (RII) - Retail Individual Investors (RIIs) are
individual investors who apply for shares worth up to ₹2 lakhs in an IPO,
aimed at encouraging retail participation in the IPO process.
• Employee (EMP)- The Employee "EMP" category in an IPO is reserved
for the employees, directors, & business associates of the issuer company, the issuer company, and the lead manager of the IPO to determine the allocation of shares to this category.
• Others- A category of eligible shareholders and other investors or traders who have the reserve in the IPO.
