IPO Investor Categories
• Qualified Institutional Buyers (QIB)- Qualified Institutional Buyers are the generally large, financially knowledgeable investors & traders, pension funds, mutual funds, insurance companies, & hedge funds. Investors are the capable of assessing investment opportunities due to their expertise & resources. Participation in an IPO, QIBs must meet specific financial criteria and established by the Securities & Exchange Board of India (SEBI). They are also permitted to bid for shares at a price lower than what is offered to retail investors.
• Non-Institutional Investors (NII) - They are typically individual investors, High Net Worth Individuals "HNI" or corporate the bodies who do not meet the financial criteria to be
classified as QIBs. They are allowed to the participation in an IPO initial public offering at the same price
as retail investors.
NII category has two subcategories:
1. sNII - "sNII" stands for the "Small Non-Institutional
Investor." This subcategory includes investors and traders who have bid for the shares
worth between Rs. 2 lakhs and Rs. 10 lakhs in an IPO.
2. bNII - "bNII" stands for the "Big Non-Institutional Investor." This subcategory includes the investors who have to bid for the shares worth more than Rs. 10 lakhs in an IPO.
• Retail Individual Investors (RII) - Retail Individual Investors (RIIs) are the investors who apply for the shares valued at up to Rs. 2 lakhs in an IPO. This category is designed to the encourage retail investors to participate in the IPO process.
• Employee (EMP)- The Employee (EMP) category in an IPO is reserved
for the employees, directors, and business associates of the issuer company,
and the allocation of shares to this category is determined by the issuer
company and the lead manager of the IPO.
• Others- A category of eligible shareholders or other investors who have a
reserved quota in the IPO.
